User Responsibilities

  • Provide accurate and complete information for service delivery
  • Maintain confidentiality of account credentials and access
  • Use services only for lawful business purposes
  • Comply with all applicable laws and regulations
  • Notify us promptly of any unauthorized access or security breaches
  • Provide timely feedback and approvals during project phases

Payment Terms and Billing

  • Payment terms are specified in individual service agreements
  • Standard payment terms: 50% upfront, 50% upon completion
  • Monthly retainer services billed in advance
  • Late payments may incur fees and service suspension
  • All prices are exclusive of applicable taxes unless stated otherwise

Intellectual Property Rights

  • Custom-developed solutions: Full ownership transfers to client upon payment
  • Pre-existing LavaBiz methodologies and frameworks remain our property
  • Third-party software licenses are passed through to clients

Confidentiality and Non-Disclosure

  • All client information is treated as strictly confidential
  • Non-disclosure agreements signed for all sensitive projects
  • Employee access limited to project team members only
  • Secure data handling and storage protocols enforced
  • Client consent required before sharing any project details publicly
  • Confidentiality obligations survive termination of services

Service Level Agreements

  • Project timelines specified in individual statements of work
  • Support response times: Critical (4 hours), Standard (24 hours)
  • System uptime guarantee: 99.9% for hosted solutions
  • Regular progress updates and milestone reporting
  • Change request procedures and approval processes
  • Quality assurance and testing protocols

Limitation of Liability

  • Liability limited to the amount paid for specific services
  • No liability for indirect, incidental, or consequential damages
  • Force majeure events beyond our reasonable control are excluded
  • Client responsible for data backup and business continuity planning
  • Professional liability insurance maintained for covered services
  • Some limitations may not apply where prohibited by law

Termination and Cancellation

  • Either party may terminate with 30 days written notice
  • Immediate termination for material breach or non-payment
  • Work completed to date will be delivered upon payment
  • Refunds prorated based on work completed and deliverables provided
  • Client data returned or securely destroyed per agreement
  • Termination fees may apply for early cancellation of long-term contracts

Dispute Resolution

  • Good faith negotiation required before formal dispute procedures
  • Mediation preferred for resolving contract disagreements
  • Binding arbitration for disputes not resolved through mediation
